1) Scope & Acceptance

1.1. These Terms & Conditions govern the sale and supply of products by Apex Aero Design (“we/us/our”) to business customers (“you/your”). This website, catalog and any quotation or proforma are addressed to distributors, retailers and professional installers only.

1.2. By placing a purchase order (PO) or accepting a proforma, you confirm that you are acting solely in the course of business and not as a consumer.

1.3. Our acceptance occurs upon written order confirmation or dispatch (whichever is earlier). Any terms on your PO that conflict with these Terms are not binding unless expressly agreed in writing by us.

2) Company & Communication

2.1. Design, engineering & manufacturing: Türkiye. EU fulfillment: Stadtlohn, Germany. US warehousing (New York) is planned.

2.2. Primary contact: info@apexaerodesign.com. “Writing/written” includes email.

3) Quotations, Prices & Taxes

3.1. Quotations and price lists are non-binding and may be updated until order acceptance.

3.2. Prices are typically stated excl. VAT and exclusive of duties/taxes/clearance unless agreed otherwise.

3.3. Currency (EUR/USD/GBP) and Incoterms (EXW/FOB/CIF/DDP, etc.) are as stated on the proforma.

4) Payment Terms

4.1. Unless otherwise agreed, supply is against proforma invoice (e.g., deposit/balance such as 40/60 or 30/70).

4.2. Title to goods passes upon receipt of full payment.

4.3. We may suspend or cancel an order if payment is overdue or incomplete.

5) Delivery, Risk & Logistics

5.1. Lead times shown in catalog/quotes are estimates; we will communicate proactively about scheduling.

5.2. Risk transfers in accordance with the agreed Incoterms (e.g., EXW/FOB: risk passes at handover to the carrier).

5.3. We coordinate dispatch and provide tracking. If you need to re-route or reschedule after dispatch, any courier changes are under your responsibility; we will assist where practicable.

5.4. Force Majeure: We are not liable for delays caused by events beyond our reasonable control (e.g., logistics disruptions, strikes, regulatory holds, extreme weather).

6) Inspection, Fitment & Installation

6.1. Please inspect upon receipt and inform us as soon as reasonably practicable of any apparent damage, shortage or mismatch; early notice helps claim handling with carriers.

6.2. A dry-fit is mandatory prior to drilling/painting. Professional installation is recommended.

6.3. We do not cover third-party installation, removal, paint or related workshop costs.

7) Returns & Partner Support (RMA)

7.1. We are partner-first and aim to resolve issues esnek ve adil (flexibly and fairly).

7.2. Before sending anything back, please obtain an RMA via info@apexaerodesign.com (include order/proforma no., SKU, quantities, photos).

7.3. Items should be, where possible, unused, unpainted, unmodified, with protective film/labels and (if applicable) fitting kit and manual. If original packaging is unavailable, we will advise suitable packing.

7.4. Çözümler: We will agree the best outcome together: replacement, credit, or refund, subject to stock status and inspection.

7.5. We can coordinate return shipping with your forwarder or arrange labels on your account.

8) Quality & Warranty (B2B)

8.1. We warrant that products will, on delivery, conform in all material respects to our specification and be free from material defects in materials and workmanship.

8.2. Our obligation is, at our option, to repair, replace, or credit/refund the affected product.

8.3. Exclusions: misuse, improper storage/installation/maintenance, fair wear and tear, alterations or repairs without our consent, or issues arising from buyer-supplied drawings/specifications.

8.4. Except as stated herein and to the extent permitted by law, all other warranties are excluded.

9) Limitation of Liability

9.1. Nothing excludes liability for death/personal injury caused by negligence, fraud, or any liability that cannot be excluded under applicable law.

9.2. To the maximum extent permitted, we are not liable for loss of profit, loss of business, or any indirect or consequential damages.

9.3. Our aggregate liability in connection with any order is limited to the amount paid for the products under that order.

10) Intellectual Property & Branding

10.1. All designs, CAD data, molds, drawings, trademarks and content are our intellectual property. No license is granted except as necessary to market and sell purchased goods.

10.2. You will not reverse engineer, copy, or create derivative works from our products, molds or design language.

10.3. Brand usage (logos, images, renders) must follow our brand guidelines and be accurate and non-misleading.

11) Compliance

11.1. You will comply with applicable laws including export controls/sanctions, customs, tax and product regulations.

11.2. We may request information reasonably required for compliance (e.g., end-use, consignee details).

12) Confidentiality

12.1. Commercial terms, pricing, roadmaps and non-public materials shared between us are confidential and may not be disclosed to third parties except as required by law.

13) Order Changes & Cancellations

13.1. After acceptance, changes or cancellations require our written consent; we will act reasonably and discuss practical solutions with you.

13.2. For custom/special runs, we may be unable to cancel if production has commenced.

14) Governing Law & Jurisdiction

14.1. These Terms are governed by the laws of Türkiye.

14.2. Any dispute shall be subject to the exclusive jurisdiction of the Istanbul (Çağlayan) Courts and Enforcement Offices, Commercial Courts.

(If you prefer Germany/EU law and venue, we can switch this clause to German law and, e.g., the courts of North Rhine-Westphalia.)

15) Changes to These Terms

15.1. We may update these Terms from time to time. The version effective at the time of your order will apply to that order unless we agree otherwise in writing.
